Listed in the Main Board of Bursa Malaysia Securities Berhad, Kencana Petroleum are engaged in work throughout the Asia Pacific region, Africa and the Middle East. In line with our expansion, we are looking for dymanic and qualified individuals to fill the following position:
LEGAL MANAGER
(Kuala Lumpur)
Responsibilities:
* Advise/review commercial contracts in accordance with all legal requirements.
* Provides legal research and advice and clear recommendations regarding matters of law and corporate risk and compliance, as required by the Group Head of Legal/Management for matters in the group of companies.
* Reviewing, advising on, drafting and negotiates (if required) mutually agreeable terms and conditions for commercial and technical contracts with customers.
* Provide frontline support, respond to complex inquiries regarding existing contract obligations and revisions.
* Identify risks and issues in terms of conditions, and suggest alternatives that lead to a mutually acceptable solution for involved parties.
* Participates in conducting risk assessment for commercial contracts and makes recommendations to minimize risk in contractual relationships.
* Advise management on business, and regulatory issues with legal implications.
* Creates and maintains contract files.
* Negotiates, maintains, and renews as needed, all agreements.
* Focal person in due diligence activities for legal as and when any corporate exercises are under consideration.
* Responsible for potential claims dispute and litigation process.
* Assisting on internal compliance and reporting.
* Develop (drafting and review), advise and analyse Subcontract documentation.
* To ensure that all Group tenders and contracts are legally protected before submitting and performing the work at all times.
* Responsible to advise the Group Head Legal/Management that all Group policies, regulations and business operations are in compliance locally and globally with the standard business practice.
* Responsible to develop and produce all Group agreements in accordance to the best industrial practice.
* To advice the Management in terms of mergers and acquisitions, finance, corporate governance and corporate secretarial practice.
* Intelligently managed of all litigation matters, Arbitration proceedings, claims and disputes and to identify ways of reducing legal risk costs while protecting the Group’s image.
* To monitor the quality control and cost of legal services provided by external law firms and overseas counsels are appropriate.
* Responsible to prepare and submit a standard departmental status report.
* Preparing Minutes of Meetings, attending Court or any dispute resolution avenue, attending to company secretarial matters as and when it is required and assisting and supporting other matters or other departments in the Kencana Group at the instruction of the Group Head of Legal/Management.
Requirements:
* Good law degree (minimum second lower) from a recognized University.
* Minimum 7 or 8 years experience, preferably with minimum 3 or 4 years experience with Project (EPCIC) Contract in oil and gas industry or its related field.
* Good legal knowledge on principles of laws and its application.
* Sound commercial and litigation foundation.
* Strong communications skills with good business orientation.
* Fluent in written and spoken English.
* Must have minimum 3 years experience in the corporate in-house legal department.
